AMD to pay about $2.9 billion for Toronto AI chip startup Taalas

· N GLOBE

A quarterly filing from AMD discloses the price of its acquisition of Toronto AI chip startup Taalas at about $2.9 billion in cash and stock, with up to about $1.4 billion contingent on future conditions. The deal was announced in August without a price and is expected to close by year-end.

Advanced Micro Devices (AMD) will pay about $2.9 billion to acquire Toronto AI chip startup Taalas, according to a quarterly report (10-Q) the chipmaker filed on November 4. The deal is structured in cash and stock, with up to about $1.4 billion in contingent consideration tied to undisclosed future conditions. AMD announced the agreement on August 6 without disclosing a price; the Globe and Mail described it as one of the largest Canadian tech takeovers. (Photo: file photo of an AMD chip.)

Taalas builds model-specific inference silicon

Taalas was founded by Ljubiša Bajić, Lejla Bajić and Drago Ignjatovic, and emerged from stealth in February, demonstrating its HC1 chip. Unlike general-purpose accelerators, Taalas hardwires a specific AI model into silicon, targeting low-latency inference; the HC1 is reported to be built on TSMC’s 6-nanometre process around Meta’s Llama 3.1 8B model. AMD said the technology will strengthen its system-level offerings and deliver a breakthrough in inference performance and efficiency.

Deal still needs approval, expected to close by year-end

The transaction has not closed and still needs regulatory approval and other closing conditions; AMD expects it to close by the end of 2026. In the same quarterly report, AMD posted third-quarter revenue of $13.4 billion, up 45% year over year, with data-centre revenue of $8.5 billion, up 97%, and guided fourth-quarter revenue to about $17 billion. AMD also announced an agreement to acquire World Labs, the spatial-intelligence company founded by Fei-Fei Li, with both deals expected to close by year-end and Li joining AMD as chief scientist.

The $2.9 billion figure is the value of the acquisition, not the price of a Taalas chip; no official Taalas product pricing has been published.
