Anthropic Commits 5% of Shares to New Public Benefit Fund Ahead of IPO

Anthropic will allocate 5% of its equity to a newly created Anthropic Public Benefit Fund ahead of its IPO, with an escalator that adds more shares as valuation grows; combined pledges now cover roughly 20% of total shares.
The announcement
Anthropic announced on October 18 that it plans to commit 5% of its shares to a newly created Anthropic Public Benefit Fund, subject to shareholder approval. The fund will operate as a wholly owned limited liability company of Anthropic rather than a traditional nonprofit.
Valuation escalator
Under the proposal, the board may add an extra 2% of company equity for every 50% increase in valuation above an undisclosed baseline. The company stated that none of the equity held by the fund will be used for lobbying or political giving, in the United States or internationally.
Roughly 20% of shares for public benefit
Combined with the co-founders' earlier pledge to donate 80% of their personal wealth and an employee equity-matching program joined by about half the staff, roughly 20% of Anthropic's total shares are now dedicated to public benefit. The fund will finance large charitable donations and direct payments to populations affected by AI-driven labor market disruption.
Timing ahead of the IPO
The announcement comes as Anthropic prepares for a potential initial public offering as early as November 2026. The company has already committed $200 million to studying AI's economic impact on employment, saying that "given the pace of AI progress, bolder approaches may be needed".
