Aramco closes HUMAIN deal: 49% stake for $2.6 billion in cash plus AI assets

Aramco and Saudi Arabia's Public Investment Fund announced on November 1 that Aramco, through a wholly owned subsidiary, has acquired a 49% stake in AI company HUMAIN, with the PIF retaining 51%; Aramco will contribute about SAR 9.9 billion ($2.6 billion) in cash in 2026 and transfer key AI assets.
Saudi Aramco and Saudi Arabia's sovereign wealth fund, the Public Investment Fund (PIF), announced on November 1 that they have closed a transaction in which Aramco, through a wholly owned subsidiary, acquires a 49% stake in Saudi AI company HUMAIN, with the PIF retaining the remaining 51% controlling stake.
Cash and assets, not a valuation
Under the joint announcement, Aramco contributes in two forms: the transfer of key AI, computing and digital assets to HUMAIN, and a cash contribution of approximately SAR 9.9 billion, about $2.6 billion, in 2026. The announcement does not value the transferred assets and does not disclose an overall valuation for HUMAIN — the $2.6 billion is Aramco's cash contribution, not a price tag for the company.
A year from term sheet to closing
The deal traces back to a non-binding term sheet signed on October 28, 2025, which set out the framework for Aramco to take a significant minority stake while the PIF kept majority ownership. HUMAIN was launched by the PIF in May 2025 and is building full-stack AI capabilities spanning data centres, high-performance computing infrastructure, cloud platforms, advanced AI models and applied AI, with a target of deploying 3 gigawatts (GW) of AI data centre capacity by 2030.
What the two sides said
Yazeed A. Al-Humied, PIF deputy governor and head of MENA investments, said bringing the PIF's and Aramco's AI investment portfolios together under HUMAIN creates a powerful synergy that fuels talent growth, technological advancement and intellectual property creation. Aramco president and CEO Amin H. Nasser described the deal as very important to Aramco.
The announcement names no sites, power sources or construction budget for the 3 GW target, and gives no payment schedule for the $2.6 billion cash within 2026 — details worth watching as the plan takes shape.
