SSR Mining to Acquire Roxmore Resources in ~C$712M Deal

SSR Mining will buy Vancouver-based Roxmore Resources for C$6.75 per share in cash plus spinout shares, gaining the Converse gold project in Nevada.
Why it matters
The deal adds a multi-million-ounce gold project just 6 km west of SSR's Marigold complex in Nevada: the Converse project is expected to produce 150,000–170,000 ounces of gold a year for more than a decade, cementing SSR as the third-largest gold producer in the United States.
Deal terms
Total consideration is about C$7.25 per share (C$6.75 cash plus 0.33 spinout share), a 58% premium to the 20-day VWAP. Roxmore's board unanimously approved the transaction; completion is expected in December, pending shareholder and court approvals. SSR will pay from existing cash, with no material capital expenditure expected until the early 2030s.
